1. Introduction

Welcome to SWL Consulting (hereinafter, "SWL", "we", or "the Firm"). This document governs access to and use of the website https://www.swlconsulting.com (the "Site") and the consulting services offered through it (the "Services").

Access to the Site and the engagement of any Services imply the full and unreserved acceptance of these Terms and Conditions. If you do not agree with them, please refrain from using the Site.

3. Purpose

SWL provides comprehensive consulting services in strategy, finance, technology, talent, automation, and artificial intelligence, across four main practice areas: Corporate Advisory, Business Mastery, Market Acceleration, and AI & Automation.

Services are delivered based on the specifications agreed in writing with each client, through commercial proposals, service agreements, or specific statements of work.

4. Use of the Site

The User agrees to use the Site and its contents lawfully, without violating applicable legislation, good faith, or public order. The following is expressly prohibited:

·        Using the Site for fraudulent, illegal, or unauthorized purposes.

·        Introducing viruses, malware, or any code that may damage SWL's or third parties' systems.

·        Engaging in reverse engineering, mass scraping, or attempting to access restricted areas.

·        Impersonating third parties or providing false information.

5. Intellectual Property

All Site content — including text, images, logos, graphics, software, methodologies, frameworks, playbooks, presentations, and any material owned by SWL — is protected by applicable intellectual and industrial property laws.

Reproduction, distribution, public communication, or transformation, in whole or in part, without SWL's express written authorization is prohibited. Deliverables developed for a specific client are governed by the terms of the corresponding service agreement.

6. Professional Services

6.1. Proposals and engagement

The economic terms, timelines, scope, and deliverables of each Service will be individually agreed upon through a commercial proposal signed by both parties.

6.2. Mutual confidentiality

SWL and the Client agree to keep strictly confidential all information exchanged during the provision of Services, throughout the term of the commercial relationship and for a period of five (5) years following its termination.

6.3. No guarantee of specific results

SWL commits to delivering the Services with the highest professional diligence but does not guarantee specific business outcomes, as these depend on factors beyond the Firm's control (market conditions, Client execution, macroeconomic variables, etc.).

7. Limitation of Liability

To the maximum extent permitted by applicable law:

·        SWL shall not be liable for indirect damages, lost profits, loss of opportunities, data, or goodwill.

·        SWL's total liability to the Client for any claim arising from the Services shall be limited to the amount effectively paid by the Client during the twelve (12) months prior to the event giving rise to the claim.

·        SWL is not responsible for Site interruptions due to force majeure, scheduled maintenance, or third-party provider failures.

8. Third-Party Links

The Site may contain links to third-party sites. SWL does not control or take responsibility for the content, policies, or practices of such sites.

9. Modifications

SWL reserves the right to modify these Terms at any time. Modifications take effect upon publication on the Site. Users are encouraged to review this page periodically.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Argentina. Any dispute arising from their interpretation or performance shall be submitted to the Ordinary Courts of the Autonomous City of Buenos Aires, with express waiver of any other forum or jurisdiction that may apply.
